SB 24 Summary

• Permits for-profit and nonprofit corporations to hold organizational and shareholder meetings by remote communication, in addition to or instead of in-person meetings at a designated place.

• Allows shareholders to vote by remote communication at corporate meetings and permits voting by electronic transmission for proxies, with notice requirements specifying the remote communication method.

• Requires shareholder lists to be made available either in person at meetings or on an electronically accessible network with access information provided in meeting notices.

• Applies remote communication provisions to business and industrial development corporations, Native corporations, and the Alaska Banking Code.

• Act is retroactive to March 11, 2020 and takes effect immediately.
