Establishes mandatory procedures for California Transportation Commission adoption of program and policy guidelines, effective January 1, 2013, except for State Transportation Improvement Program guidelines.

Requires the commission's legal counsel to review proposed guidelines for necessity, authority, clarity, consistency, reference, and nonduplication before presentation to commissioners.

Mandates at least 45 days' notice to the public before guideline meetings, with opportunities for oral and written comments, followed by staff summary of objections and explanations of changes made.

Exempts guideline adoption from the Administrative Procedure Act rulemaking requirements while establishing transparency procedures including public notice, comment periods, and maintenance of guideline adoption files.

Requires the commission to report annually to the Legislature on guideline adoption activities, including proposed guidelines considered and commission votes.
