Expands conversion procedures to allow California corporations to convert into foreign corporations or foreign other business entities, in addition to existing conversions to domestic entities.

Requires converting corporations to file a certificate of conversion with the Secretary of State when converting to a foreign corporation or foreign other business entity.

Designates the Secretary of State as the agent for service of process against corporations that have converted to foreign entities in specified circumstances where the entity's designated agent cannot be located after diligent search.

Modifies plan of conversion requirements to include the name, form, and jurisdiction of organization of the converted foreign entity and specifies applicable governing documents for foreign entities.

Repeals Section 1160, which previously imposed a $150 conversion fee charged by the Secretary of State.
