Amends municipal electric energy cooperative statutes effective October 1, 2011, modifying membership, voting procedures, and dissolution provisions.

Changes withdrawal requirements from requiring unanimous approval of all continuing members to requiring only that withdrawing utilities continue performing contractual obligations or provide sufficient trust funds.

Allows voting methods to distinguish between full requirements and partial requirements customers based on megawatt-hour purchases or contract terms, provided similarly situated members are treated comparably.

Establishes that property distribution upon dissolution follows agreements between the cooperative and members rather than automatically reverting to creating utilities, with nondiscriminatory treatment required.

Permits municipal cooperatives to compensate representatives through either member payments or cooperative payments with annual limitations set by concurrent resolutions, and allows reimbursement of representative expenses.
