Allows business entities (corporations, limited partnerships, limited liability companies, registered limited liability partnerships, and statutory trusts) to file documents and annual reports with the Secretary of the State by electronic transmission effective January 1, 2012.

Permits the Secretary of the State to grant exemptions from electronic filing requirements if entities lack capability to file electronically or make electronic payments, or upon showing of good cause.

Requires annual reports to include electronic mail addresses (if any) and changes Secretary of the State's notification method from mailing prescribed forms to delivering notice that reports are due.

Adds definitions for "deliver," "delivery," "document," "electronic transmission," and "sign/signature" (including electronic signatures) to statutory provisions governing business entity filings across multiple business entity types.

Authorizes the Secretary of the State to accept photocopies of documents and permits use of new technology for filing documents as it is developed.
