Amends Section 2 of Special Act 240 of 1961 to modify the admission requirements for the City of Middletown to the Mattabassett District.

City of Middletown must pay $13 million to the Mattabassett District board of directors for approval of its admission application.

Middletown's admission requires approval granted on or after May 1, 2011, by any two existing constituent municipalities representing a majority of the Mattabassett District's residents.

Establishes a new board representation system based on a three-representative base per municipality plus additional population-based representatives calculated using federal census data, with reapportionment reviews every ten years.

Requires the Mattabassett District to provide annual $100,000 payments to the Town of Cromwell beginning upon Middletown's admission, paid after debt service obligations and not from sewerage system charges.
