Extends the advance notice period from 30 to 60 days for health care entity transactions requiring Attorney General review, including group practice mergers, hospital affiliations, and transfers of controlling interests in health care facilities

Creates new notification requirements for material change transactions involving health care entities with at least $10 million in assets or revenues, or any transaction involving private equity entities, covering mergers, acquisitions of 20% or more of assets, and changes in control

Expands definitions to include "private equity entity," "management services organization," and "health care entity" (encompassing providers, facilities, group practices, and pharmacy benefit managers), and requires disclosure of ownership interests of 5% or more

Authorizes the Attorney General to impose conditions on transactions or require certificate of need approval after consulting with the Office of Health Strategy on effects to health care access, quality, and affordability

Establishes civil penalties up to $1,000 per day for noncompliance or providing false information, with the Attorney General empowered to bring civil actions and seek equitable relief
