Amends Chapter 17, Title 6 of Delaware Code regarding creation, regulation, operation and dissolution of domestic limited partnerships and registration of foreign limited partnerships.

Requires limited partnership names to be distinguishable from other domestic limited partnership names on Secretary of State records, with grandfathering for partnerships registered before July 31, 2011.

Mandates that registered agent and registered office addresses include street number, city, and postal code in all filed documents effective August 1, 2011 (with no requirement to amend documents filed before that date).

Allows certificates to specify an effective date up to 180 days after filing; clarifies that domestication and conversion certificates must be filed simultaneously with matching effective dates.

Establishes $2.00 fee per limited partnership when a registered agent resigns from multiple partnerships on a single certificate and creates $50 filing fee for amendments changing only registered office or registered agent.
