Encourages the Delaware State Bar Association's Corporation Law Section and its Council to examine the state's business entity laws for balance, efficiency, fairness, and predictability

Directs examination to include the scope of certificate of incorporation and bylaws provisions, dissolution statutes and court rules, and appropriate remedies for disputes among company principals

Calls for consideration of whether legislative proposals are needed and requests submission of any meritorious recommendations to the 149th General Assembly

Expresses concern about meritless and duplicative litigation imposed on Delaware companies and emphasizes maintaining balance between directors, officers, controlling stockholders, and other stockholders

References Delaware Code §26, Title 8 regarding forced dissolution, noting that less intrusive remedies such as appointing tie-breaking board members should be considered as alternatives
