State of Delaware conveys approximately 1.53 acres of Tax Parcel 2600620045 at the terminus of Bancroft Mills Road in New Castle County to Rockford Falls Partners, LLC via quit-claim deed.

Rockford Falls Partners, LLC conveys approximately 3.92 acres of land and river bottom along the Brandywine Creek on Tax Parcel 2600620041 to the Delaware Department of Natural Resources and Environmental Control, and transfers all ownership rights to the dam on that parcel.

Rockford Falls Partners, LLC must create and maintain a 25-space parking lot, build and maintain green space at the state park entrance, renovate the former train platform as a rentable pavilion, and install a restroom facility on the state-retained portion of Tax Parcel 2600620045.

Rockford Falls Partners, LLC must grant the state perpetual easement for public vehicle, bicycle, and pedestrian access across its property to adjacent state-owned lands.

Conveyances are contingent on receipt of all required approvals, agreement on exact property descriptions, and simultaneous completion of all exchanges and improvements; the state's authority to convey becomes void if Rockford Falls Partners does not execute its obligations.
