Amends § 15-902 of the Delaware Revised Uniform Partnership Act to allow certificates of merger or ownership and merger to include amendments to a surviving domestic partnership's statement of partnership existence (or statement of qualification for limited liability partnerships).

Permits amendments included in merger certificates to amend and restate the entire statement of partnership existence of the surviving domestic partnership, including changes to its name, registered office, or registered agent.

Requires domestic partnerships causing a merger under § 15-902(m) to file a statement of partnership existence if they have not already done so.

Clarifies that merger certificates containing amendments serve as the required amendment filings under § 15-105 or § 15-116, eliminating the need for separate amendment filings.

Takes effect on August 1, 2024.
