Prohibits state agencies and local governmental entities from contracting with companies on the Scrutinized Companies with Activities in Sudan List or the Scrutinized Companies with Activities in the Iran Petroleum Energy Sector List for goods or services worth $1 million or more.

Requires all contracts of $1 million or more entered into or renewed on or after July 1, 2011 to include a provision allowing termination if the contractor is placed on either scrutinized companies list or submits a false certification.

Allows case-by-case exceptions for scrutinized companies if their operations predate July 1, 2011 and have not expanded since, they have adopted a plan to cease operations, or if the contracting entity cannot obtain the goods or services elsewhere.

Imposes civil penalties of the greater of $2 million or twice the contract amount for false certifications, plus attorney's fees and investigation costs, with a 3-year prohibition on future contracts with state or local entities.

Limits enforcement to state agencies and local governmental entities; prohibits private right of action and prevents unsuccessful bidders from protesting contracts based on false certifications.
