Allows limited agricultural associations to convert to domestic nonprofit corporations by filing a certificate of conversion and articles of incorporation with the Department of State.

Establishes a $35 filing fee for the certificate of conversion of a limited agricultural association to a domestic corporation.

Requires conversion to be approved by a majority vote of the association's members, with articles of incorporation approved by the same authorization required for the conversion.

Provides that conversion does not affect the association's pre-conversion obligations or liabilities, and all rights, property, and assets automatically vest in the new corporation without requiring the association to wind up its affairs.

Permits the association to provide a plan or record describing how membership interests convert and may include provisions for abandoning the conversion or establishing an effective date for the conversion.
