Prohibits the State Board of Administration from voting on or in favor of proxy resolutions advocating expanded United States trade with Cuba or Syria, with reporting requirements in annual proxy voting reports.

Bans state agencies and local governmental entities from contracting for goods or services of $1 million or more with companies having business operations in Cuba or Syria, effective July 1, 2012.

Requires companies bidding on or renewing contracts worth $1 million or more to certify they do not have business operations in Cuba or Syria at the time of bid submission or contract entry.

Imposes civil penalties of $2 million or twice the contract amount for companies submitting false certifications, plus attorney fees and costs, with 3-year contract bidding ineligibility upon determination of false certification.

Allows case-by-case exemptions if business operations occurred before the effective date and have not been expanded or renewed, and requires the Department of Management Services to notify the U.S. Attorney General of the law's enactment.
