Requires online voting systems to authenticate member identity, verify vote validity, transmit receipts to voters, and permanently separate identifying information from ballots to maintain secrecy.

Mandates corporations establish electronic ballot storage accessible for recounts and inspections, and provide members with methods to confirm their device can communicate with the system at least 14 days before voting deadline.

Requires board of directors to adopt a resolution authorizing online voting, provide 14-day notice to members, and establish procedures for members to consent to or opt out of online voting; member consent remains valid until member opts out.

Members voting electronically are counted as present for quorum purposes; applies to any membership vote and takes effect July 1, 2016.
