Grants liability immunity to all officers and directors of nonprofit corporations

Updates membership rules including authorizing boards to admit members for consideration, permitting membership termination per terms, prohibiting corporations from being their own members, and allowing fines or penalties if authorized

Revises meeting procedures including proxy voting rules, remote participation provisions, and allows board actions to satisfy meeting and voting requirements when no members exist

Removes affiliate chapter registration requirement and requires statements for property held for charitable purposes
