Permits nonprofit corporation members to take action by ballot, including electronically transmitted ballots, without holding a meeting if the corporation delivers ballots to all voting members.

Allows membership meetings to be conducted using Internet, teleconference, or other electronic transmission technology if authorized by the board of directors, with members able to vote, ask questions, and participate substantially concurrently with proceedings.

Enables nonprofit corporations to provide notice to members and directors by electronic transmission (email, facsimile, electronic network posting) if the recipient has consented to receive notice by that method.

Clarifies that member approval can be obtained through written ballot, ballot, or written consent in addition to votes at duly held meetings, and adds electronic signatures as valid for ballots under Hawaii law.

Removes prior limitations on mail-in director elections and updates statutory references to remove the word "written" where electronic alternatives are now permitted for ballots and notices.
