Allows owners of real property in Kakaako makai to transfer development rights to owners of real property in Kakaako mauka, subject to Hawaii Community Development Authority (HCDA) approval and rules.

Requires transferable development rights to be treated as real property interests that run with the land and can be conveyed through recorded deeds; sending properties must record declarations permanently removing the transferred rights.

Prohibits amendments to Kakaako mauka development plans or zoning rules that eliminate or materially restrict permitted uses or density on receiving properties unless justified by mistake, fraud, or substantial public health/safety concerns.

Directs HCDA to adopt rules establishing procedures for transfers, monitoring systems, residual uses for sending properties, infrastructure assessments, and financial institution oversight through the Department of Budget and Finance.

Effective July 1, 2050.
