Authorizes the Hawaii Health Systems Corporation, regional systems, or combined regional systems to transition to new nonprofit or public benefit healthcare management corporations through sale, lease, or transfer of assets (real property by lease only).

Establishes a transition committee chaired by the governor, including representatives from finance, attorney general's office, HHSC corporate and regional boards, and public sector labor unions, to evaluate and select transition plans.

Requires transition plans to meet specific criteria including improved governance, operational efficiencies reducing state subsidies, personnel systems exempt from state civil service rules, and high-quality patient care protections.

Mandates legislative approval of any selected transition plan by two-thirds vote of both houses and makes the State responsible for pre-existing liabilities and collective bargaining obligations during transition.

Protects employee retirement benefits and collective bargaining rights, with employees continuing under existing agreements until renegotiation after the new entity is formed; effective July 1, 2150 with sunset on January 1, 2025.
