Authorizes the Maui regional health care system to transition Maui Memorial Medical Center, Kula Hospital, and Lanai Community Hospital into a new private nonprofit corporation operated by a private entity.

Requires approval from the Maui regional system board, Attorney General, Director of Finance, and Governor before any transition can occur.

Establishes a lease agreement of at least 25 years at $1 annual rent, with the State retaining ownership of real property while the private entity operates the facilities.

Requires the State to assume existing liabilities including accounts payable, debt, malpractice liabilities, and post-employment benefits, while the private entity assumes future operational liabilities.

Provides for continued employee protections including six-month employment guarantees and preservation of earned retirement benefits, with State operating subsidies capped at 2014 fiscal year levels and joint capital funding for the first ten years.
