Prohibits public benefit corporations from purchasing any of their own memberships or rights arising from memberships.

Allows non-public benefit corporations to purchase their own memberships only under conditions specified in section 414D-232 (ability to pay debts and maintain assets equal to liabilities).

Clarifies that only persons with authority to vote as board members are considered "directors" under Chapter 414D, regardless of their title.

Permits boards of directors to take action without a meeting through written consent, including consent executed by electronic or digital signature with reasonable authentication measures.

Changes notice requirement for public benefit corporations selling substantially all property from "days" to "business days" when notifying the Attorney General (20 business days).
