Prohibits public benefit corporations from purchasing any of their memberships or rights arising from membership.

Clarifies that a person without voting authority as a board member is not considered a director under Chapter 414D.

Allows corporations with members to designate directors through articles or bylaws, in addition to electing or appointing them.

Increases the notice period for Attorney General review of public benefit corporation asset sales from twenty days to twenty business days.

Permits electronic or digital signatures on board consent documents if the corporation employs reasonable authentication measures, including commercially available board meeting portal security systems.
