Renames the Hawaii Workforce Development Council as the Hawaii Workforce Development Board within the Department of Labor and Industrial Relations.

Requires the Governor to appoint an Executive Director of the Board from a list of three nominees submitted by the Board, with compensation set by the Governor and exemption from civil service chapters 76 and 89.

Establishes Board membership including ex officio voting members (state agency directors, legislators, mayors), 17 private sector representatives, and 8 labor and workforce training organization representatives as defined by federal Workforce Innovation and Opportunity Act requirements.

Prohibits Board members and local workforce development board members from engaging in any activity constituting a conflict of interest as established by federal law (29 U.S.C. 3111(f) and 3122(h)) or Hawaii Revised Statutes chapter 84.

Repeals the advisory capacity provision and clarifies that all existing rules, policies, and contracts remain in effect with references to the Council updated to refer to the Board.
