Establishes the Stadium Authority within the Department of Business, Economic Development, and Tourism with eleven members: eight appointed public members, the director of BBEDT (voting ex officio), and the University of Hawaii president and superintendent of education (nonvoting ex officio).

Designates one public member as the Aiea community representative and one as the west Honolulu community representative, with specific geographic boundaries defined for each area in Oahu.

Clarifies quorum requirements by specifying that a majority of all voting members currently serving shall constitute a quorum and that a majority of voting members must concur for any action to be valid.

Sets four-year terms for members with staggered initial appointments (three members for four years, three for three years, three for two years) and limits members to two consecutive terms.

Takes effect on April 14, 2112.
