Reduces the Hawaii Tourism Authority Board of Directors from twelve to nine members, with at least one representative each from Honolulu and the counties of Hawaii, Kauai, and Maui.

Changes the requirement for industry expertise from at least six members to at least four members, and reduces the maximum number of members representing any single industry sector from three to two.

Adds two new eligibility restrictions: board members cannot have conflicts of interest in their business or financial undertakings, and cannot act as representatives or assist entities that have been awarded contracts by the authority.

Modifies the two-year waiting period restriction to apply to employees or contractors of the current Hawaii Tourism Authority rather than specifically the Hawaii Visitors and Convention Bureau.

Reduces the quorum requirement from seven members to five members and the affirmative votes needed for board action from seven to five; prevents holdover members from continuing beyond the start of the next regular legislative session after their term expires.
