Amends Hawaii Revised Statutes Section 109-1 to clarify quorum and voting requirements for the Stadium Authority, specifying that a majority of all voting members currently serving shall constitute a quorum and that a majority of all voting members currently serving must concur to make any action valid.

Stadium Authority consists of 11 members: 8 appointed by the governor (including two designated community representatives from specified geographic areas in Aiea and West Honolulu), plus three ex officio members (director of business, economic development, and tourism as voting member; president of University of Hawaii and superintendent of education as nonvoting members).

Maintains existing requirements that public members must be U.S. citizens and Hawaii residents for at least five years, serve four-year terms with a two-consecutive-term limit, and serve without compensation.

Adds new subsection (c) establishing formal quorum and voting requirements based on voting members only (excluding nonvoting ex officio members).

Takes effect January 1, 2060.
