HB 55 Summary

• Amends Section 30-402, Idaho Code to correct code references related to unincorporated nonprofit associations, replacing "under" with "pursuant to" section 53-7101.

• Repeals the existing Chapter 7, Title 53, Idaho Code (Uniform Unincorporated Nonprofit Association Act) and replaces it with a revised version.

• Establishes unincorporated nonprofit associations as legal entities with perpetual existence, property ownership rights, liability protections for members and managers, and the ability to sue or be sued in their own names.

• Provides governance structures including member voting requirements (affirmative majority vote), manager selection and duties (fiduciary duties of loyalty and care), and member admission/suspension/expulsion procedures.

• Authorizes dissolution, winding up, and merger procedures for unincorporated nonprofit associations, including rules for property distribution and transition of pre-July 1, 2011 property transfers to association names.
