HB 102 Summary

• Creates Chapter 64 of Title 41 requiring domestic insurers and insurance groups to file annual Corporate Governance Annual Disclosures (CGAD) with the insurance director by June 1 each year, with exemptions for groups where Idaho is not the lead state.

• Requires CGAD to include material information on corporate governance structure, board policies, senior management direction, and oversight of critical risk areas, signed by a company officer attesting to implementation of governance practices.

• Designates all CGAD documents and related information as confidential trade secrets not subject to public disclosure, subpoena, or discovery in civil actions, except when director uses them in regulatory or legal proceedings.

• Authorizes the director to share confidential CGAD information with state, federal, and international regulators, the NAIC, and third-party consultants under written agreements requiring confidentiality maintenance and prohibiting permanent database storage.

• Amends Section 41-3434 and Section 74-107 to apply Chapter 64 provisions to service corporations and to exempt CGAD-related documents from public disclosure under Idaho's open records law.
