House Bill 103 - Summary

• Amends Section 30-30-511 of the Idaho Nonprofit Corporation Act to allow members to participate in nonprofit meetings by means of remote communication to the extent authorized by the board of directors

• Adds remote communication as a valid method for establishing quorum, requiring ten percent (10%) of votes entitled to be cast to be represented in person, by proxy, by mailed written ballot, by absentee ballot, or by remote communication

• Allows remote communication participation to count toward the one-third (1/3) voting power threshold required for voting on matters beyond those described in the meeting notice at annual or regular member meetings

• Remote communication participation is contingent upon authorization by the board of directors
