Amends the Public Officer Prohibited Activities Act to expand conflict of interest exemptions for municipal and county officers serving on not-for-profit corporation boards.

Allows county officers (in addition to municipal officers) appointed by their governing body to represent the municipality or county on a not-for-profit board to actively vote on related matters, provided the position is unpaid (though reimbursement for expenses is permitted).

Permits county officers not appointed by their governing body to serve on not-for-profit boards but requires them to abstain from voting on propositions directly involving that not-for-profit and excludes them from quorum calculations on such matters.

Maintains existing thresholds for conflicts of interest: officers with less than 7 1/2% ownership interest can provide materials, services, or labor under specific conditions including public disclosure, abstention from voting, and aggregate contract limits ($25,000 annually under one pathway, $4,000 under another).

Adds provisions allowing officers with 1% or less ownership in publicly traded companies to participate in municipal business transactions involving those companies, provided they publicly disclose the interest and abstain from voting.
