HB3547 - Professional Corporations

• Allows limited liability companies (LLCs) to provide clinical psychology, social work, marriage and family therapy, professional counseling, and sex offender evaluation services, subject to licensing and registration requirements by the Department of Financial and Professional Regulation.

• Adds confidentiality protections for information collected during Department examinations and investigations, restricting disclosure to law enforcement, other regulatory agencies with appropriate interest, or parties with lawful subpoenas; formal complaints and orders remain public records.

• Requires separate applications for each business location and each fictitious or assumed name with a different address for professional corporations, medical corporations, and professional service corporations.

• Establishes notice of violation procedures allowing 30 days to respond or apply for registration, with late fees up to $500 annually and potential civil penalties up to $10,000 for operating without required certificates.

• Modifies Professional Service Corporation Act and Medical Corporation Act to clarify disciplinary grounds, judicial review procedures, and shareholder requirements for medical corporations during dissolution.
