Requires publicly held domestic and foreign corporations with principal executive offices in Illinois to have a minimum of one female director on their board by December 31, 2020.

Increases female director requirements by end of 2022: corporations with 6+ directors must have 3 female directors; those with 5 directors must have 2 female directors; those with 4 or fewer directors must have 1 female director.

Secretary of State must publish reports by July 1, 2020 and annually after March 1, 2022 documenting compliance rates and corporate relocations to/from Illinois.

Authorizes Secretary of State to impose fines of $100,000 for late filing of board member information or first violations, and $300,000 for subsequent violations; each unfilled required female director seat counts as a violation.

Defines "female" as an individual who self-identifies her gender as a woman, and "publicly held corporation" as a corporation with outstanding shares listed on a major United States stock exchange.
