Board of Directors reduced to 9 members appointed by the Governor, with one 2-year term, one 3-year term, and seven 4-year terms; eliminates prior appointment system based on legislative leaders.

Governor may immediately remove Board members for neglect of duty, incompetence, or malfeasance, with absence from 3 consecutive meetings constituting neglect of duty.

Director of Natural Resources or designee serves as non-voting ex officio Board member; Governor appoints Board chairperson who serves at the Governor's pleasure.

Director of Natural Resources selects the Executive Director who serves at the Director's pleasure and is employed by the Foundation; annual budget must be prepared by Executive Director and Board, presented to Director within 30 days before expiration of previous budget, and adopted only upon Director's approval.

Foundation must coordinate with Department of Natural Resources before commencing projects to assess and prioritize Department needs; Foundation must comply with Open Meetings Act and cooperate with state agencies including Office of Executive Inspector General.
