• Directors prohibited from voting by proxy or secret ballot at board meetings, except secret ballots may be used for electing officers; prohibition also applies to meetings where decisions affect fund expenditure or architectural decisions affecting unit owners

• Board members charged with crimes including forgery of election materials, theft/embezzlement of association funds, destruction of records, or fraudulent voting activities shall be removed from office; removal lifted if charges are resolved without guilt finding

• Board members appointed by developer must disclose their relationship to the developer annually and any conflicts of interest; all board members must disclose conflicts of interest at least 14 days before voting on related matters

• Failure to provide association documents to members within prescribed timeframe results in fine of not more than $2,500

• Declaration or bylaws must require mediation or arbitration for disputes valued at $10,000 or less (excluding assessments and rule violations); mediation or arbitration may be required for all other disputes
