Creates the Harry P. Williams Memorial Airport District as a political subdivision of Louisiana, with boundaries coterminous with St. Mary Parish, subject to approval by both the St. Mary Parish Council and the Federal Aviation Administration.

Establishes a seven-member board of commissioners appointed by the St. Mary Parish Council, with members serving five-year terms (up to three additional terms after initial appointment) and required to have experience in aviation, business, finance, engineering, law, or related fields.

Grants the district authority to acquire, operate, and manage Harry P. Williams Memorial Airport and all associated facilities, including terminals, runways, hangars, parking structures, and commercial/industrial properties within the airport's geographical area.

Transfers to the district all existing leases, contracts, grant obligations, financial obligations including revenue bonds, cash balances, vehicles, equipment, and movable assets currently held by the local government for airport operations.

Requires the district to submit annual financial reports to the St. Mary Parish Council within 120 days of each calendar year end, and prohibits the district from levying taxes without prior Parish Council approval.
