Phases in the retail cap gradually: maximum of 4 retailers until 1 year after passage, 5 retailers until 2 years after passage, then 6 retailers thereafter

Defines "direct control" to include owners, those with 10% or greater voting interest, ability to appoint 50%+ of directors, authority to appoint/remove officers, or earning 10%+ of profits or dividends

Requires entities seeking control of more than 3 marijuana retailers to purchase an existing licensed marijuana establishment or medical treatment center already authorized to operate

Mandates priority consideration for purchases of licenses majority-owned by social equity businesses, economic empowerment businesses, or certified MBE, WBE, or VBE enterprises
