Board of trustees of Albion College limited to not more than 33 members, consisting of the college president, appointees from the United Methodist Church (up to 6), recent graduates (up to 2), alumni association (up to 6), and trustees already in office (up to 20)

Trustees appointed under most categories serve 3-year terms, while recent graduate trustees serve 2-year terms with option for staggered 1-year terms; board may limit consecutive terms through bylaws

Volunteer trustees and volunteer officers have no personal liability for breach of fiduciary duty, except for disloyalty, intentional misconduct, knowing law violations, improper personal benefit transactions, gross negligence, or actions before the effective date

College assumes all liability for acts or omissions of volunteer trustees and nontrustee volunteers occurring on or after the effective date when acting within scope of authority, in good faith, without gross negligence, willful/wanton misconduct, or intentional torts

Claims for monetary damages against volunteer trustees or nontrustee volunteers must be brought against the college instead
