Amends the Michigan Limited Liability Company Act to modify the definition of "services in a learned profession" in section 102.

Excludes services provided to nursing home residents by osteopathic physicians, physicians, or surgeons who are employees or independent contractors of the nursing home from the definition of learned professional services.

Clarifies that the term "services in a learned profession" includes only services rendered by dentists, physicians, surgeons, clergy, and attorneys-at-law, unless they are providing care to nursing home residents in an employment or contractor capacity.

Contains a conditional enactment clause requiring that Senate Bill No. ___ or House Bill No. 5375 must be enacted into law for this bill to take effect.
