HB 5713 Summary

• Amends Section 911 of the Michigan Business Corporation Act to require domestic and foreign corporations to file annual reports with the administrator by May 15 each year, containing corporation name, resident agent information, names and addresses of officers and directors, and business description.

• Adds requirement for benefit corporations to include their annual benefit report (required under section 961) with their annual corporation report.

• Exempts corporations formed or authorized to do business between January 1 and May 15 of a calendar year from filing a report for that year.

• Allows corporations with no changes to previously filed information to submit a certification form instead of a complete report, provided benefit corporations still include their annual benefit report if applicable.

• Takes effect 90 days after enactment, contingent upon passage of HB 5710, HB 5711, and HB 5712.
