HB 5523 Summary

• Amends the Nonprofit Corporation Act to modify provisions allowing nonprofit corporations to assume liability for volunteer directors, officers, and other volunteers.

• Changes language in subsection (1)(e) from "are met" to "apply" regarding conditions for limited liability protection of volunteers acting within scope of authority in good faith without gross negligence, willful and wanton misconduct, or intentional torts.

• Removes reference to section 3135 of the 1956 Insurance Code regarding motor vehicle liability, eliminating exclusion of torts arising from ownership, maintenance, or use of motor vehicles from liability assumption.

• Specifies that provisions eliminating volunteer director or officer liability filed before January 15, 2015 are considered to eliminate liability under the amended section.

• Takes effect January 1, 2020, and is contingent upon enactment of House Bill 5517 (HB 5517'18).
