Amends Michigan's Business Corporation Act to require domestic and foreign corporations to file annual reports by May 15 each year with the state administrator containing corporation name, resident agent information, officer and director names and addresses, and nature of business.

Requires benefit corporations to include their annual benefit report (required under section 961) along with the standard annual report filing.

Exempts corporations formed or authorized to do business between January 1 and May 15 of any calendar year from filing the report for that year.

Allows corporations with no changes to previously filed information to submit a simplified certification report instead of a full report, provided benefit corporations still include their required annual benefit report.

Takes effect 90 days after enactment and is conditioned on concurrent enactment of House Bills 5867, 5868, and 5872.
