Establishes expedited filing fees for corporate documents: $1,000 for 1-hour completion, $500 for 2-hour completion, $100-$200 for same-day completion, and $50-$100 for 24-hour completion.

Permits electronic transmission of notices and communications to shareholders and resident agents, and allows shareholders to participate in meetings remotely via conference telephone or other means of communication authorized by the board.

Allows shareholder action by written consent within 60 days of record date without requiring a meeting, including provisions for delayed-effect consents that take effect at specified future dates or events.

Authorizes business organizations to convert into domestic corporations by filing a certificate of conversion that includes articles of incorporation for the surviving corporation.

Expands professional corporation provisions by clarifying definitions of licensed persons and professional services, and establishes requirements for shareholder eligibility and restrictions on share transfers.
