Allows stockholders or members of insurance corporations to adopt bylaws permitting directors to participate in board meetings via electronic communication devices, with participating directors deemed present in person.

Permits stockholders or members to conduct their own meetings entirely through electronic communications devices, with participants deemed present in person.

Authorizes amendment of bylaws to allow electronic meetings to occur through electronic communication devices at meetings themselves conducted electronically.

Enables the board of directors to permit directors to participate in regular or special board meetings via electronic communication devices that allow all participants to communicate with each other.

Takes effect immediately upon approval by the Governor on May 8, 2023.
