Maintains existing approval factors including impact on customer rates, service reliability, potential subsidization of non-regulated activities, and utility's ability to raise capital

Allows the commission to impose conditions on approved transactions to protect both the utility and its customers, with utilities able to reject terms and cancel the transaction

Preserves attorney general authority to file comments within 60 days of applications and to enforce federal and state antitrust laws
