Removes "design" from the definition of building and construction contracts, covering only construction, alteration, improvement, repair or maintenance of real property, highways, roads or bridges.

Expands the definition of indemnification agreements to include defense obligations and economic loss, and adds a new definition for professional services contracts provided by licensed professionals.

Makes indemnification agreements unenforceable in building and construction contracts and professional services contracts except when injury or damage results from the promisor's negligent or wrongful acts, or when owners/responsible parties indemnify contractors for strict environmental liability.

Prohibits professional liability insurance requirements in building and construction contracts and professional services contracts, while allowing other specific insurance coverage agreements.

Makes provisions void that subject Minnesota contracts to other states' laws or require out-of-state dispute resolution, or that require pre-payment waivers of mechanics liens; requires payment within ten days with 1.5% monthly interest on late undisputed amounts.

Effective August 1, 2013, for contracts entered into on or after that date.
