Amends Minnesota Statutes to expand the definition of "electronic communication" to explicitly include use of electronic networks or databases and distributed electronic networks or databases.

Defines "electronic record" as a record created, generated, sent, communicated, received, or stored by electronic means, including electronic networks, databases, or distributed electronic networks or databases.

Defines "electronic signature" as an electronic sound, symbol, or process attached to or logically associated with a record and executed or adopted by a person with intent to sign the record.

Permits corporations to maintain share registers, financial records, and minute books using electronic records and other information storage techniques, provided records can be converted accurately and within reasonable time into legible visual form organized by subject matter.

Requires corporations to convert or prepare records upon request of authorized persons entitled to inspect them, with conversion expenses borne by the requesting person, and makes converted records admissible as evidence to the same extent as original records.
