Requires health maintenance organizations (HMOs) in Minnesota to be nonprofit corporations organized under chapter 317A or local governmental units, eliminating for-profit HMO operations.

Prohibits any non-nonprofit HMO from offering, selling, issuing, or renewing health maintenance contracts on or after August 1, 2024, with complete cessation of operations required by December 31, 2025.

Requires the Commissioner of Health to deny new HMO certificates of authority on or after August 1, 2024 unless the applicant meets nonprofit requirements under the revised statute.

Mandates that non-compliant HMOs provide notice to enrollees by October 1, 2024 regarding cessation date and coverage transition plans to another insurer.

Expands the Commissioner's enforcement authority to pursue fiduciary duty violations by HMO officers and trustees regarding unreasonable expenses paid to major participating entities, reinforcing nonprofit status protections.
