Health care entities (facilities, providers, insurers, pharmacy benefit managers, provider organizations) must report ownership and control information to the Commissioner of Health by March 1, 2026, and annually thereafter, including organizational charts, business identification numbers, affiliate relationships, and financial reports

Control is presumed when any person owns 10% or more of voting securities or membership; ownership interest threshold is 5% or more of equity, capital, stock, or profits

Commissioner must publish annual public reports by June 1, 2027, detailing health care entity ownership structures, changes in control, and trends in horizontal and vertical consolidation

Civil penalties for failure to report or submitting false information range up to $50,000 for small independent providers (10 or fewer physicians or under $10 million revenue) and up to $500,000 for larger health care entities

Independent provider organizations with two or fewer physicians and no outside ownership are exempt from annual reporting but must report upon completing a transaction involving the entity
