Circuit courts may decree dissolution of an LLC if: it is not reasonably practicable to carry on business per the operating agreement; dissolution is necessary to protect complaining members' rights; the business has been abandoned; management is deadlocked; operations are substantially impaired; or those in control have committed persistent fraud, mismanagement, or abuse of authority

Any person may apply to the Secretary of State for a certificate of good standing for domestic or foreign LLCs and LLC series, which serves as prima facie evidence the company exists and is authorized to transact business in Missouri

Each LLC series must be individually profiled, maintained, and searchable as a business entity on the Secretary of State's business services website by January 31, 2027

LLC series in good standing may obtain stand-alone certificates of good standing from the Secretary of State under the new Section 347.044

Repeals and replaces RSMo sections 347.143 and 347.186, and enacts new section 347.044 relating to limited liability company administration and dissolution procedures
