Adds section 436.302 to Missouri law governing nongovernmental construction contracts, making rights and duties under the section non-waivable and declaring contrary contract terms null and void

Prohibits contract provisions that withhold payment exceeding disputed amounts, prevent work suspension for nonpayment, require work continuation without payment, mandate extra work without prior payment agreement, or require rights waivers as payment conditions

Prohibits "pay-if-paid" clauses that condition subcontractor payment on owner payment to contractor, and bars contract terms requiring disputes to be governed by another state's laws or resolved in another state

Requires owners to pay contractors within 40 days of invoice receipt, with written notice within 15 days if withholding payment, specifying amounts, reasons, and responsible parties

Requires contractors to pay subcontractors within 7 days of receiving owner payment and notify subcontractors within 2 business days of payment receipt; these payment protections flow down to all tiers of subcontractors and suppliers

Exempts owner-occupied residential properties of 4 units or less and applies only to contracts entered after August 28, 2026
